Goodwill of South Central Wisconsin Terms of Use

This TERMS OF USE AGREEMENT (“Agreement”) governs your (“you” or “your”) use of this Goodwill of South Central Wisconsin’s website (“Website”). owned and operated by Goodwill of South Central Wisconsin, Inc. a [501(c)(3)] nonprofit organization (“Goodwill SCWI,” “we,” “us,” “our” in this Agreement) and the content, information and services provided through the Website. This Agreement exempts Goodwill SCWI from liability or limits their liability and contains other important provisions that you should read. 

EACH TIME YOU USE THE WEBSITE THIS AGREEMENT AS IT THEN READS WILL GOVERN YOUR USE. AS A RESULT, WHEN YOU USE THE WEBSITE, YOU SHOULD CHECK THE DATE OF THIS AGREEMENT AND REVIEW ANY CHANGES SINCE THE LAST VERSION. 

1. Acceptance of this Agreement 

By accessing or using our the Website, you signify your acceptance and agreement, and the acceptance and agreement of all persons you represent, without limitation or qualification, to be bound by this Agreement and our the Goodwill of South Central Wisconsin Privacy Policy (“Privacy Policy”) associated with this Website, reference the Website for a copy of the Privacy Policy, and you represent and warrant that you have the legal authority to agree to and accept this Agreement on behalf of yourself and all persons you represent. If you do not agree with each provision of this Agreement or the Privacy Policy, or you are not authorized to agree to and accept this Agreement or the Privacy Policy, you may not use the Website. Please review both this Agreement and the Privacy Policy carefully and often as they are subject to change.  

2. Use of the Website 

Goodwill SCWI grants you a limited, non-exclusive, non-transferable, non-assignable, revocable license to view and temporarily download a copy of the materials displayed on the Site solely for lawful, non-commercial purposes related to the mission of Goodwill SCWI, which includes helping people in our community to live, work, and thrive through housing, employment, and supportive services. You agree not to use the Website: 

  • For any unlawful purpose or to solicit others to perform or participate in unlawful acts. 
  • To violate any international, federal, or local regulations or laws. 
  • To infringe upon or violate our intellectual property rights or the rights of others. 
  • To transmit any malicious code or harmful content that may affect the operation of the Website.

All content on this Website, including but not limited to data, text, graphics, messages, documents, logos, images, sound, audio, artwork, videos, downloadable materials, software, and HTML code (“Content”), is the exclusive property of Goodwill SCWI or used with permission, and is protected by U.S. and international copyright and other applicable intellectual property rules, regulations, and laws. You must use materials for personal, non-commercial use only. You shall not sell, resell, license, rent, adapt, edit, reverse engineer, or create derivative works of such Content. Using, copy, modifying, displaying, deleting, distributing, downloading, storing, reproducing, transmitting, publishing of such Content without written permission is prohibited. 

4. Donations and Payments 

All donations made through this Website are voluntary and non-refundable. We use secure third-party payment processors to handle donations and event fees. By submitting your payment information, you agree to the terms and policies of the third-party payment processor.

The Website and its Content are provided “as is” without warranties of any kind, express or implied. While we strive to provide accurate and up-to-date Content, we make no guarantees regarding the accuracy or reliability of Content. You agree to assume all risks associated with, arising out of, or resulting from your use of the Website. 

9. Limitation of Liability 

To the fullest extent permitted by law, Goodwill SCWI and its partners, agents, directors, officers, employees, information providers, service providers, licensors and licensees, and all other related, associated, or connected persons shall not be liable for any damages arising from your use or inability to use the Website or its Content, including direct, indirect, incidental, punitive, or consequential damages. 

10. Changes to Agreement 

We reserve the right to update or modify this Agreement at any time. Changes will be effective upon posting on the Website. By accessing, viewing, browsing, or otherwise using the Website after the posting of changes to this Agreement by Goodwill SCWI or its designees constitutes acceptance of the updates or modifications. 

11. Release 

You hereby release and forever discharge each of Goodwill SCWI and its partners, agents, directors, officers, employees, information providers, service providers, licensors and licensees, and all other related, associated, or connected persons from any and all manners of rights, claims, complaints, demands, causes of action, proceedings, liabilities, obligations, legal fees, costs, and disbursements of any nature and kind whatsoever and however arising, whether known or unknown, which now or hereafter exist, which arise from, relate to, or are connected with your use of the Website. 

12. Indemnification 

You agree to indemnify, defend and hold harmless each of Goodwill SCWI and its partners, agents, directors, officers, employees, information providers, service providers, licensors and licensees, and all other related, associated, or connected persons (collectively “Indemnified Parties”) harmless from and against any and all liabilities, expenses and costs, including without limitation reasonable legal fees and expenses, incurred by the Indemnified Parties in connection with any claim or demand arising out of, related to, or connected with your use of the Website or your breach of this Agreement. You will assist and cooperate as fully as reasonably required by the indemnified parties in the defense of ant claim or demand. Advice and information provided by Indemnified Parties, whether oral or written, will not create any representation, warranty or condition or vary or amend this Agreement, including the above Disclaimer, Limitation of Liability, Release and Indemnification provisions, and you may noy rely on any such advice or information. 

13. Fair Allocation of Risk and Liability 

You agree and acknowledge this Agreement represents a fair allocation of risk and liability. 

14. Linking, Framing, Mirroring, Scraping and Data-Mining the Website  

Links to the Website without the express written permission of Goodwill SCWI are strictly prohibited. The framing, mirroring, scraping or data mining of the Website or any of its content in any form and by any method are strictly prohibited. 

15. Governing Law  

The Website is controlled by Goodwill SCWI from Madison, Wisconsin, United States of America. This Agreement, your use of the Site, and all related matters are governed solely by the laws of the State of Wisconsin, United States of America and applicable federal laws of the United States of America, excluding any rules concerning the conflict of laws or any international laws that would lead to the application of any other laws. 

16. Severability  

If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severed from the rest of this Agreement and shall not affect the validity and enforceability of any remaining provisions. 

17. Waiver 

No consent or waiver by any party to or of any breach or default by any other party in its performance of its obligations under this Agreement will be deemed or construed to be a consent to or waiver of a continuing breach or default or any other breach or default of those or any other obligations of that party. No consent or waiver will be effective unless in writing and signed by all parties. 

18. Effect of Termination  

Notwithstanding anything herein to the contrary, the following provisions of this Agreement, and all other provisions necessary for their interpretation or enforcement, will survive indefinitely after the termination of this Agreement and remain in full force and effect and be binding upon the parties as applicable: 2. Use of the Website; 3. Intellectual Property; 5. Links to Third-Party Sites; 6. Privacy; 8. Disclaimer; 9. Limitation of Liability; 11. Release; 12. Indemnification; 13. Fair Allocation of Risk and Liability; 14. Linking, Framing, Mirroring, Scraping and Data-Mining the Website; 15. Governing Law; 16. Severability; 17. Waiver; and 19. Umbrella Provision. The provisions of this Agreement will inure to the benefit of and be binding upon Goodwill SCWI and each of its respective successors and assigns and related persons, and you and your heirs, executors, administrators, successors, and personal representatives, and all persons you represent and their respective successors, assigns and related persons. You and the persons you represent may not assign this Agreement or the rights and obligations under this Agreement without the express prior written consent of Goodwill SCWI, which may be withheld in Goodwill SCWI’s discretion. Goodwill SCWI may assign this Agreement and its rights and obligations under this Agreement without your consent or the consent of any persons you represent. 

19. Umbrella Provision 

Any rights not expressly granted by this Agreement are reserved to Goodwill SCWI.
